Terms of Service

1. Acceptance of Terms

Welcome to PearfectName! These Terms of Service ("Terms") govern your access to and use of the PearfectName mobile application and web services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

2. Description of Service

PearfectName is a collaborative baby naming application that allows couples to:

• Create or join a couple account using invite codes or QR codes
• Set individual preferences for baby names (gender, categories, popularity, etc.)
• Swipe on baby names independently (like, dislike, super like, hard no)
• Receive matches when both partners like the same name
• Browse and manage matched names together

3. Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you represent that you have your parent or guardian's permission to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

4. Account Registration and Security

• You may create an account anonymously or by using Apple Sign-In
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account
• We reserve the right to suspend or terminate accounts that violate these Terms

5. User Conduct

You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction
• Harass, abuse, or harm another person
• Impersonate any person or entity
• Share inappropriate, offensive, or harmful content
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service or servers
• Use automated systems (bots, scrapers) to access the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Remove or modify any copyright, trademark, or proprietary notices

6. Couple Accounts and Partner Interactions

• When you create or join a couple, your swipes and matches are shared with your partner
• You are responsible for ensuring you have permission to connect with your partner
• Either partner may leave a couple at any time
• When a couple is dissolved, individual user data remains intact, but shared matches may be removed
• We are not responsible for disputes between partners

7. Intellectual Property Rights

7.1 Our Content

The Service, including all content, features, functionality, software, names database, and design, is owned by PearfectName and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.

7.2 Your Content

You retain ownership of any content you submit to the Service (such as sibling names or custom preferences). By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and display that content solely to provide the Service.

8. Premium Features and Payments

8.1 Purchase Types

PearfectName offers three premium purchase options:

• Individual Name Packs — One-time purchase that unlocks a specific name pack permanently on your Apple ID. Non-consumable; restorable via Apple's "Restore Purchases."
• Annual Premium Subscription — Recurring yearly subscription that unlocks all current and future name packs and premium features.
• Lifetime Premium — One-time purchase granting Premium access for the operational lifetime of the Service (see Section 8.3 for the exact definition).

8.2 Billing and Renewals

• All purchases are processed through Apple's App Store using your Apple ID
• Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the renewal date in your Apple ID settings
• Free trials, where offered, convert to a paid subscription unless cancelled before the trial ends
• Refunds are handled directly by Apple under their App Store refund policies; we do not process refunds independently
• We reserve the right to modify pricing for new purchasers at any time. Existing active subscribers will receive advance notice before any price increase takes effect at their next renewal
• Specific premium features, name pack contents, and pack composition may change, be added, or be removed over time

8.3 Definition of "Lifetime"

"Lifetime Premium" means access to Premium features for as long as PearfectName remains operational as a service. It does not mean the lifetime of the purchaser, the lifetime of Apple's App Store, or any guarantee of perpetual operation. We do not guarantee that the Service will run for any minimum period of time.

If we elect to discontinue the Service in whole or in part, we will provide Lifetime Premium holders with at least ninety (90) days advance notice via push notification, email (where available), and an in-app banner, along with an option to export their match list and swipe history before shutdown.

Lifetime Premium is a non-consumable in-app purchase tied to your Apple ID and may be restored on any device signed in to that Apple ID. It is non-transferable.

8.4 Service Updates and Delivery Schedule

Premium and Lifetime Premium grant access to the Service as it exists from time to time. We do not commit to any specific feature roadmap, update cadence, or content release schedule. We aim to ship periodic updates while the app is under active development, but gaps between updates are normal and expected.

We will make commercially reasonable efforts to keep the Service operational on supported versions of iOS and supported devices. We do not guarantee compatibility with future operating system versions, hardware, or third-party platforms (including Apple's App Store and our backend infrastructure providers).

We may, at our sole discretion, place the Service into a maintenance-only mode in which no new features are added but existing functionality continues to operate. Maintenance-only mode does not constitute discontinuation under Section 8.3.

8.5 Discontinuation

Notwithstanding any other provision, we may discontinue the Service at any time with the notice described in Section 8.3. Upon discontinuation, all subscriptions will be cancelled and any unused subscription period may be refunded by Apple at their discretion. Lifetime Premium and individual Name Pack purchases are not separately refundable beyond Apple's standard refund policy. To the maximum extent permitted by law, our cumulative liability for any claim related to discontinuation is limited to the amount you actually paid for the relevant purchase in the twelve (12) months preceding the claim.

9. Disclaimers and Limitations of Liability

9.1 No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• That the Service will be uninterrupted, secure, or error-free
• That the name suggestions or matches will meet your expectations
• That defects will be corrected

9.2 Not Medical or Legal Advice

PearfectName is a baby naming tool only. It does not provide medical, legal, or professional advice. The name database is provided for informational and entertainment purposes. We make no guarantees about the accuracy, cultural appropriateness, or suitability of any name.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEARFECTNAME SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Unauthorized access, use, or alteration of your content
• Any naming decisions you make based on the Service

10. Indemnification

You agree to indemnify, defend, and hold harmless PearfectName, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to:

• Your violation of these Terms
• Your use of the Service
• Your violation of any rights of another person or entity
• Any content you submit to the Service

11. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and data in accordance with our Privacy Policy
• All provisions of these Terms that should survive termination will survive

You may also delete your account at any time from the Settings screen in the app.

12. Privacy

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your information.

13. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by:

• Posting the updated Terms on this page
• Updating the "Last Updated" date
• Sending you a notification through the app (for significant changes)

Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property violations.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PearfectName regarding the Service and supersede all prior agreements and understandings.
